Electronic Services Agreement: Terms and Conditions

Electronic Services Agreement Nexyra Fidelity Holdings Investments Canada ULC delivers its services in accordance with clearly defined terms and conditions. By accessing or using the Nexyra Fidelity Holdings Private Investment Program, My Accounts, My Book, or Dealer Centre, you confirm that you have read, understood, and agreed to be bound by the following terms and conditions.

Agreement Overview This Agreement governs the relationship between Nexyra Fidelity Holdings Investments Canada ULC (“Nexyra Fidelity Holdings”) and the user with respect to access to and use of Nexyra Fidelity Holdings’s Electronic Services (“Services”). The Services encompass the Nexyra Fidelity Holdings Private Investment Program, My Accounts, My Book, Dealer Centre, and any other informational, web-based, wireless, IVR, or electronic platform that Nexyra Fidelity Holdings may establish — directly or through online business partners — now or in the future. Through these Services, users are provided with interactive access to their Nexyra Fidelity Holdings accounts and associated information via electronic transmission across computer, mobile, and telephone-based channels.

Acceptance of Terms Your initial use of any of the Services constitutes your full acceptance of, and agreement to be bound by, the terms and conditions set out herein, as well as any additional terms, conditions, or restrictions applicable to the specific Service being accessed. Nexyra Fidelity Holdings reserves the right to revise these terms at any time without prior notice by updating this document. Users are responsible for reviewing the terms on a regular basis. Continued access to or use of the Services following any such update will be deemed acceptance of the revised terms.

User Responsibilities Access to the secure areas of Nexyra Fidelity Holdings.ca — including the Private Investment Program, My Accounts, My Book, and Dealer Centre — is strictly limited to the individual authorized user under this Agreement, for personal and non-commercial purposes only. You are solely responsible for maintaining the confidentiality of your password(s) and any other security credentials associated with your account. All activities conducted using your login credentials are your sole responsibility, and you agree not to share your password(s) with any third party or store them alongside other account-related information. Please note that Nexyra Fidelity Holdings does not have access to your password(s) and cannot be held responsible for any unauthorized use of the Services resulting from a compromise of your credentials.

Prohibited Conduct and Access Suspension Users are strictly prohibited from attempting to access restricted areas of Nexyra Fidelity Holdings’s systems or those of any affiliated entities, or from performing any functions beyond the scope of their authorized access under this Agreement. Nexyra Fidelity Holdings reserves the right to suspend a user’s access — without notice — by deactivating login credentials if there is reasonable cause to suspect misuse or unauthorized activity. Any suspension will remain in effect for the duration necessary to conduct a thorough investigation. If unauthorized activity is confirmed — or cannot be satisfactorily explained — Nexyra Fidelity Holdings may terminate this Agreement immediately and without prior notification.

Limitation of Liability and Disclaimer Nexyra Fidelity Holdings makes no warranties — express or implied — regarding the accuracy, completeness, timeliness, or fitness for use of any information accessed through or transmitted via the Services. Nexyra Fidelity Holdings reserves the right to modify any or all aspects of the Services at any time, and users acknowledge that the Services may be temporarily unavailable during scheduled or unscheduled maintenance and updates.

This Agreement operates alongside, and does not replace or supersede, any existing or future agreements between Nexyra Fidelity Holdings and the user, including any agreement pertaining to a Nexyra Fidelity Holdings Investment Account or related
